Result of the external audit tender

Johnson Matthey Plc (the “Company”) announces that following the conclusion of a competitive tender process led by the Company’s Audit Committee and as disclosed in the 2017 Annual Report and Accounts, the Company’s Board has approved the proposed appointment of PricewaterhouseCoopers LLP (“PwC”) as the external auditor for the financial year commencing 1 April 2018.

This appointment is subject to shareholder approval at the Company's Annual General Meeting to be held in July 2018.

KPMG LLP ("KPMG") will remain as the Company's auditor for the financial year ended 31 March 2018.

In line with the Statutory Audit Services Order 2014, given that KPMG (and its predecessor entities) has been the Company's external auditor for more than 20 years, KPMG was not invited to retender for this appointment.

Alan Ferguson, Chairman of the Company's Audit Committee, said: "The Board would like to thank KPMG for its many years of service to the Company and it looks forward to working with PwC in the future."
